AGREEMENT FOR MEMBERSHIP SERVICES
This Agreement is between the undersigned
("You") and Top Echelon Network, Inc., ("us,"
"we," or "our").
On behalf of yourself and your agency,
you agree to the terms and conditions of Top Echelon Network,
Inc.'s, Policy Handbook ("Handbook"). We may,
in our sole discretion, amend this Agreement or the Handbook
from time to time. We will advise you of any amendments
by email or The Pinnacle newsletter. Our Handbook is available
at www.TopEchelon.com/PolicyHandbook.htm.
If you cannot access the Handbook for any reason, please
contact us in writing and one will be sent to you. It
is your obligation to read the Handbook and keep current
with all changes. Your continued use of any membership
services after we have advised you of an amendment to
this Agreement or the Handbook will constitute your acceptance
of that amendment.
You and the other members of Top Echelon
may submit and receive information to us and from us in
connection with your use of our software, systems, and/or
services. Since we act as a crossroads for information
exchange, we do not warrant any information, advice, or
ideas you receive from us (regardless of the source) to
be factual, nondiscriminatory, marketable, legally correct,
non-infringing, or fit for any particular purpose. You
also acknowledge that you and all other Top Echelon members
have a duty to verify that information sent to us does
not infringe upon anyone's rights.
You may terminate your membership at any
time for any reason by giving us a 30-day notice. We may
terminate your membership without notice, at any time,
and for any reason or no reason at all. If your membership
is terminated, all amounts due to Top Echelon will become
immediately owing, and you will not be entitled to any
refunds. Amounts due may include, without limitation,
all membership charges, all charges you incurred under
separate agreements with us, and brokerage fees for placements,
including fees for placements initiated prior to but finalized
after your termination.
The Handbook is part of this Agreement,
and this is the only Agreement that controls our sale
of membership services to you. If you have signed an agreement
for a specific service, software, or system that is ancillary
to our membership services, then that agreement will control
our relationship as to that specific ancillary service,
software, or system.
By signing this Agreement you acknowledge
that you have read this Agreement and the Handbook, and
collectively they are a binding-legal contract.
